3. Delivery Time: Trans Global Logistics will use its best efforts to deliver the cargo within the agreed timeframe but is not responsible for any delays caused by factors beyond its control.
4. Liability: Trans Global Logistics will not be liable for any loss, damage, or delay to the cargo unless caused by its own negligence or willful misconduct.
5. Cargo Acceptance: Trans Global Logistics reserves the right to refuse to accept any cargo that it deems to be dangerous, hazardous, or illegal.
6. Documentation: The customer is responsible for providing all necessary documentation for the cargo, including but not limited to customs declarations, bills of lading, and invoices.
7. Insurance: Trans Global Logistics strongly recommends that the customer purchase insurance for the cargo, as it is not liable for any loss or damage that occurs during transport.
8. Force Majeure: Trans Global Logistics will not be liable for any delay or failure to perform its obligations under these terms and conditions due to circumstances beyond its control, such as acts of God, war, or government action.
9. Termination: Either party may terminate the agreement at any time with written notice to the other party.
10. Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of the country where Trans Global Logistics is based.
11. Dispute Resolution: Any disputes arising from or relating to these terms and conditions shall be resolved through arbitration in accordance with the rules of the local arbitration association.
12. Confidentiality: Trans Global Logistics will keep all customer information confidential and will not disclose it to any third party without the customer’s consent.
13. Intellectual Property: The customer acknowledges that Trans Global Logistics owns all intellectual property rights associated with its services, and agrees not to use them for any unauthorized purpose.
14. Indemnification: The customer agrees to indemnify and hold Trans Global Logistics harmless from any and all claims, damages, or expenses arising from the customer’s use of the cargo and freight services.
15. Compliance: The customer agrees to comply with all applicable laws and regulations related to the cargo and freight services, including but not limited to customs and import/export regulations.
16. Assignment: The customer may not assign its rights or obligations under these terms and conditions without Trans Global Logistics’ prior written consent.
17. Entire Agreement: These terms and conditions constitute the entire agreement between the customer and Trans Global Logistics and supersede all prior negotiations, understandings, and agreements between the parties.
18. Waiver: The failure of either party to enforce any provision of these terms and conditions shall not be deemed a waiver of that provision or any other provision of these terms and conditions.
19. Severability: If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
20. Amendments: Trans Global Logistics may amend these terms and conditions at any time by posting the amended terms and conditions on its website or providing notice to the customer.
